PTE Description Details:
The Minister for Finance and Administration, Senator the Hon Nick Minchin, announced on 17
August 2005 that the Australian Government will move to the next stage of preparing for a 
possible Telstra sale. 
The Minister indicated that given the Scoping Study’s advice that the preferred timing for a 
Telstra public share offer is late 2006, the Australian Government will make a further decision
in early 2006 about proceeding with a sale. 
At this stage, no assurance can be given that a decision will be made to proceed with a full or
part sale. 
The legislation required has been passed by the Parliament.
The Department of Finance and Administration has appointed ABN AMRO Rothschild, Goldman Sachs 
JBWere and UBS as Project Management Joint Global Coordinators (PMJGCs) to prepare for the 
possible sale. 
The PMJGCs are issuing a request for tender for the role of Banker to the Issue in preparation 
for the possible sale, and are inviting parties who are experienced in all banking services
normally associated with an offer of shares to the public to tender for the role.

Conditions for receipt of a Request for Tender (RFT)
To receive a copy of the RFT, suitably qualified firms must properly execute the Confidentiality
Deed Poll and Warranty, Undertaking, Acknowledgement and Licence Deed Poll (Deeds). 
These Deeds and a guide as to how to properly execute them is located to the left in the summary
Once properly executed, the Deeds must be returned either: 
1	by fax to the PMJGCs at fax number +612 9320 1009; or 
2	in PDF format via email to the PMJGCs to bob.nelson@gsjbw.com. 
Please insert in the subject "T3 Tender Banker to the Issue-execution of Deeds". 
Timing for receipt of RFT
Tenderers who have provided properly executed Deeds and returned them by 10.00 am on Friday
3 March 2006, will then be issued RFTs.
Only tenderers who have returned to the PMJGCs by fax or email properly executed and completed
Deeds and attached their correct and legible contact details will be provided with a copy of the
Whilst the PMJGCs do not propose to commence issuing any RFTs until after 3.00 pm on Friday
3 March 2006, any delay in the receipt by the PMJGCs of properly executed Deeds beyond 10.00 am 
on Friday 3 March 2006 may delay the receipt by that party of the RFT.
It is the sole responsibility of the tenderer to ensure that the Deeds are properly executed,
and whilst the PMJGCs will use reasonable endeavours to inform tenderers when they receive Deeds
which have not been properly executed, the PMJGCs assume no responsibility for doing so nor any
responsibility for informing tenderers on how to properly execute them.
Question and Answer Session
The return of properly executed Deeds to the PMJGCs by 10.00 am on Friday 3 March 2006 is a 
precondition for access being granted to the question and answer sessions for tenderers for the
role of Banker to the Issue, to be scheduled in the week beginning 6 March 2006.
Any delay in the receipt by the PMJGCs of properly executed Deeds beyond 10.00 am Friday 3 March
2006 will result in the tenderer not meeting the precondition for access to the question and 
answer sessions.
The PMJGCs reserve the right, at their sole discretion, to amend the date for the question and 
answer sessions. 
Tenderer contact details
Contact details, including a return email address for receipt, confirmation and provision of 
the RFT should be provided with the Deeds in the email or fax header.
The tenderer should ensure that its contact details are completed in a manner that is clear and
easily readable by the PMJGC Contact Officer.
The PMJGCs assume no responsibility to follow-up with tenderers who have provided illegible or
incorrect contact details.
Confirmation of receipt of Deeds
Upon receipt of a fax or email by the PMJGCs of the correctly executed Deeds and contact details,
the PMJGCs will issue an email confirmation of receipt.
Delivery of original Deeds
As soon as practicable after receipt of the RFT (but no later than the Closing Time for this
RFT), tenderers must arrange for hand or postal delivery to the PMJGCs of the original executed 
Deeds, marked to the attention of the PMJGC Contact Officer at the address specified in the RFT.
Closing Time
The tender Closing Time for the lodgement of tenders in response to the Mailhouse RFT is 4.00 pm
(AEDT time) on 24 March 2006.
